Role Overview
The Head of Legal & Compliance will lead all legal, compliance, and governance functions within BetMatch South Africa.
This role is critical to ensuring that all aspects of the business — from licensing and platform operations to HR and banking — meet the highest standards of integrity, compliance, and accountability.
You will serve as the primary legal authority within the organization, responsible for navigating the complexities of gaming law, Reserve Bank compliance, BEE frameworks, and all corporate governance structures.
This is a hands-on, strategic leadership role suited to a self-starter who thrives in building a department and scaling a business in a fast-moving, regulated environment.
Key Responsibilities
Legal & Regulatory Leadership
- Oversee all legal matters across the business, acting as principal legal advisor to the CEO and Board.
- Serve as the key liaison with the North West Gambling Board and other regulatory authorities.
- Manage license applications, renewals, and special condition compliance tracking.
- Draft, review, and maintain all company terms & conditions, contracts, policies, and internal legal frameworks.
- Ensure compliance with the National Gambling Act, Companies Act, Labour Law, FICA, and related legislation.
Compliance & Risk Management
- Implement and monitor a comprehensive compliance management system across all departments.
- Oversee platform and game certification compliance (BMM, GLI, NWGB) in collaboration with technical partners.
- Lead all internal audit processes, system checks, and control testing, ensuring readiness for board inspections and renewals.
- Develop and maintain a risk matrix, addressing operational, reputational, and regulatory risks.
- Review and approve all commercial agreements, NDAs, partnership deals, and service provider contracts.
Governance, Stakeholder & Board Management
- Manage stakeholder and regulator communications, ensuring transparent reporting and governance alignment.
- Prepare and present board reports on compliance, risk, and legal developments.
- Ensure adherence to BEE frameworks and manage all transformation-related documentation and reporting.
- Oversee Reserve Bank approvals, FX controls, and cross-border payment structures.
HR, Staffing & Internal Oversight
- Provide legal oversight on employment contracts, HR policies, and internal governance.
- Oversee investigations, disciplinary processes, and conflict resolution where required.
- Ensure all company procedures, policies, and practices align with South African Labour Law.
- Foster a culture of compliance and ethical conduct across all teams.
Platform Protections & User Safeguarding
- Ensure full user protection through compliant T&Cs, data policies, and responsible gaming mechanisms.
- Oversee internal staff, system, and platform protections, including cybersecurity and privacy protocols.
- Work closely with the technology team to ensure compliance with POPIA and other data protection laws.
Requirements
Experience & Expertise
- Bachelor’s Degree in Law (LLB); LLM or compliance certification advantageous.
- Minimum 5–7 years’ post-admission experience, with at least 3 years in gaming, fintech, or regulated industries.
- Proven experience managing gaming board submissions, audits, and license renewals.
- Strong working knowledge of South African gambling regulation, Reserve Bank frameworks, BEE compliance, and corporate governance.
- Demonstrated ability to manage commercial contracts, cross-border transactions, and vendor agreements.
- Familiarity with testing standards (BMM, GLI, MER) and regulatory audit processes.
- Experience with policy drafting, internal compliance frameworks, and legal department setup.
